1. About the Service & Platform Architecture

DocScore AI is an artificial intelligence-assisted software-as-a-service (SaaS) platform engineered to assist individuals, startups, enterprises, and legal practitioners in reviewing documents, detecting contractual clause risks, scoring compliance indicators, and generating structured legal templates.

The platform utilizes a combination of proprietary document parsing pipelines, heuristics, and enterprise third-party artificial intelligence foundation models (specifically Google Cloud Vertex AI / Gemini API) to evaluate text and produce draft documents.

3. Eligibility & User Warranties

By accessing the Service, you represent and warrant that:

• You are at least 18 years of age or the legal age of majority in your jurisdiction.
• You possess the lawful right, capacity, and authority to enter into these Terms.
• You have the legal authority, licenses, and permissions to upload, process, and analyze all documents submitted by you.
• Your submission of documents does not violate any non-disclosure agreement, fiduciary duty, statutory regulation, or third-party intellectual property rights.

4. User Content, Intellectual Property & Ownership

4.1 Ownership of Uploaded Documents

You retain complete and exclusive ownership of all documents, files, and materials uploaded by you to DocScore AI (“User Content”). We do not claim any proprietary or intellectual property ownership over your uploaded source documents.

4.2 Ownership of Generated Drafts & Outputs

Subject to your payment of applicable service fees and compliance with these Terms, you own all rights, title, and interest in the specific document drafts, clauses, and reports generated for you through the Service.

4.3 Processing License Granted to DocScore AI

You grant DocScore AI a limited, worldwide, non-exclusive, royalty-free license to parse, transmit, and process your User Content strictly as necessary to execute your requested analysis, generate drafts, and deliver the Service.

5. Third-Party AI Models & Data Processing Authorization

To deliver AI analysis and conversational drafting capabilities, DocScore AI transmits relevant document text and prompts to enterprise third-party artificial intelligence infrastructure providers, including Google Cloud Vertex AI.

• User Authorization: By submitting documents or queries, you expressly authorize DocScore AI to transmit data via encrypted TLS protocols to our enterprise third-party AI processors solely for inference and output generation.
• Zero-Training Guarantee: Under our enterprise commercial terms with Google Cloud Vertex AI, customer inputs, prompts, and document contents are not used by the third-party AI provider to train or tune public foundation models.
• No Sale of Customer Data: We do not sell, rent, or trade your document content to any commercial third parties or advertisers.

6. Compliance Scores & Heuristic Ratings Disclaimer

Any numeric score (e.g. DocScore 0–100), risk badge, or compliance indicator produced by our analyzers is:

• An automated heuristic comparison against common clause baselines and standard checklists.
• Not an official regulatory endorsement, judicial certification, or government validation.
• Subject to judicial interpretation and contextual facts that an automated algorithm cannot fully evaluate.

7. Document Execution & Enforceability Realities

Users acknowledge that the legal validity and enforceability of any draft generated by DocScore AI (such as agreements, leases, deeds, or affidavits) depends upon physical and procedural compliance with local statutory mandates, including but not limited to:

• Payment of Stamp Duty: Procuring requisite non-judicial e-stamp or physical stamp paper as mandated by the relevant State Stamp Act.
• Attestation & Witnesses: Execution before two competent attesting witnesses (for agreements, leases, deeds, wills) or verification before an authorized Notary Public / Oath Commissioner (for sworn affidavits).
• Compulsory Registration: Submitting documents (such as long-term leases exceeding 11 months, immovable property transfers) to the local Sub-Registrar of Assurances under the Registration Act, 1908.

8. Prohibited Platform Activities

You agree not to engage in any of the following prohibited actions:

• Uploading documents containing malicious code, viruses, or disruptive scripts.
• Using the Service to draft fraudulent instruments, forged credentials, or instruments intended to deceive statutory authorities.
• Reverse-engineering, decompiling, or attempting to extract the underlying prompts, system instructions, or source code of DocScore AI.
• Deploying automated scrapers, crawlers, or high-volume query bots that burden system infrastructure.
• Reselling, sublicensing, or white-labeling the Service without an explicit enterprise partnership agreement.

9. Service Availability & Third-Party Dependencies

DocScore AI is provided on an “AS IS” and “AS AVAILABLE” basis. Because our platform relies on third-party cloud infrastructure (including Vercel, Supabase, and Google Cloud Vertex AI), we do not warrant that the Service will operate completely uninterrupted, error-free, or devoid of upstream third-party service latency.

10. Limitation of Liability

To the maximum extent permitted under applicable law, LegalParihar Online Services, its founders, officers, employees, and licensors shall NOT be liable for:

• Any indirect, incidental, punitive, consequential, or special damages.
• Loss of profits, legal claims, contractual losses, business opportunities, or reputational damage.
• Decisions, contractual commitments, or litigation actions taken based on AI-generated outputs.

In any event, our total cumulative liability arising out of or relating to your use of the Service shall not exceed the total fees paid by you to DocScore AI in the three (3) months immediately preceding the event giving rise to liability, or INR ₹5,000 (Five Thousand Indian Rupees), whichever is lower.

11. Indemnification

You agree to defend, indemnify, and hold harmless LegalParihar Online Services, its affiliates, directors, employees, and agents against any claims, liabilities, damages, judgments, or legal expenses (including reasonable attorney fees) arising from your breach of these Terms, unauthorized upload of third-party documents, or misuse of generated drafts.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the substantive laws of India, without giving effect to conflict of laws principles.

Any legal dispute, claim, or proceeding arising under or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the competent civil courts situated at Satna, Madhya Pradesh, India.

13. Modifications to Terms

We reserve the right to amend or replace these Terms at our discretion. Notice of substantial revisions will be provided by updating the “Last Updated” date at the top of this document. Continued use of the platform after updates confirms your acceptance of the revised Terms.
